This form constitutes our agreement with respect to your
vehicle's description, photos and other information you (the undersigned) are submitting
to Eastman Publishing (the Publisher). All submissions become released to Eastman
Publishing for publication and will not be returned. You have submitted this information
and photos for consideration to be published by Eastman Publishing within a CDbook and you
agree to the permission terms set forth below.
The undersigned hereby grants permission to Eastman
Publishing to publish a description, photos and other information of the below mentioned
vehicle authored by the undersigned.
The undersigned warrants and represents that the
description, photos and other information is his or her original work and has the full
right, power and authority to enter into this Non-Exclusive Publication Permission
agreement and to grant the rights granted herein; and that the Publisher’s use of the
vehicle's description, photos and other information submitted will not violate any rights
of any kind or nature whatsoever of any third party.
The undersigned expressly releases Eastman Publishing from
and against any and all claims that the undersigned may have for invasion of privacy,
right of publicity, defamation, copyright infringement, or any other causes of action
arising out of the use, reproduction or distribution of the vehicle's description, photos
and other information submitted. The undersigned shall indemnify and hold harmless Eastman
Publishing from any and all claims, damages, liabilities, costs and expenses (including
reasonable attorneys’ fee) arising out of or in any way connected with any breach of
any representation or warranty made by the undersigned herein.
By submitting the vehicle's description, photos and other
information to Eastman Publishing, the undersigned represents that he/she has full rights
for publication and will not violate or infringe the rights of any third person or party,
including but not limited to, rights in copyrights, patents, trademarks, service marks,
trade secrets or other proprietary rights. The undersigned also understands that he/she
will not receive any form of compensation from the vehicle's description, photos or other
information he/she is submitting. The undersigned further understands and agrees that
submission of the vehicle's description, photos and other information does not in any way
guarantee they will be published or appear within any Eastman Publishing publication.
The undersigned understands and agrees that Eastman
Publishing has non-exclusive worldwide and perpetual right to electronically or otherwise
publish and distribute the vehicle's description, photos and other information submitted
in any language and the right to translate and electronically or otherwise publish and
distribute to individuals or other entities under license or contract with Eastman
Publishing.
The undersigned understands and agrees that Eastman
Publishing has non-exclusive worldwide and perpetual right to include the vehicle's
description, photos and other information submitted in advertising and promotion.
The undersigned understands and agrees that Eastman
Publishing may edit/delete the vehicle's description, photos and other information
submitted at any time, without any notice to the undersigned.
The undersigned agrees to indemnify, defend and hold
harmless Eastman Publishing, its owners, heirs, officers, directors, employees, agents,
licensors, suppliers and any third party information providers to Eastman Publishing from
and against all claims, losses, expenses, damages and costs, including reasonable
attorneys' fees, resulting from any breach or violation of this release (including
negligent or wrongful conduct) by the undersigned or any other person accessing the
vehicle's description, photos or any other information submitted.
Any amendment to this Non-Exclusive Publication Permission
Release agreement must be in writing and executed by the parties.
This Non-Exclusive Publication Permission Release
constitutes the entire agreement between the parties with respect to the subject matter
thereof and supersedes all prior written or oral negotiations, commitments,
representations, and agreements with respect thereto.
