EP EXTRA Online Store Consignor Agreement of Terms

This constitutes our agreement with respect to placing clothes (items) you (the undersigned) send to be placed on consignment within EP EXTRA Online Store (Eastman Publishing) at epextra.com (forwarding address used for advertising) or eastmanpublishing.com/store (either URL is used to reach the EP EXTRA Online Store's home page).

The undersigned understands that EP EXTRA Online Store is a division of Eastman Publishing, 550 Silvers Mills Rd. Sangerville, ME 04479 and consignment items will be shipped to the before mentioned address.

The undersigned understands and agrees that Eastman Publishing will list on EP EXTRA Online Store the clothing that is sent to the address below by the undersigned, providing the items meet the guidelines as stated within the "Be a Consignor" page on EP EXTRA Online Store. The undersigned understands and agrees that any clothes that do not meet the EP EXTRA Online Store guidelines will not be listed for consignment fees and will be discarded or donated at Eastman Publishing's discretion.

The undersigned understands and agrees that Eastman Publishing will set up a Consignor's Booth within EP EXTRA Online Store for free. The Consignor's Booth is where EP EXTRA Online Store customers or the undersigned can access all items currently offered on consignment by the undersigned.

The undersigned understands and agrees that all sales generated through items provided by the undersigned will be shown in his/her EP EXTRA Online Store's account area. An account area is provided to view all current Consignor's Stats, which has items pending payment and a total for the undersigned's consignment earnings that are previously paid for by a customer.

CONSIGNOR FEES: The undersigned understands and agrees that Eastman Publishing will pay him/her 50% of the item's selling price. The undersigned understands and agrees that the customer's order must be paid in full before any consignment fees become due.

PAYMENT: The undersigned understands and agrees that a check in the amount due will be sent to his/her mailing address on the 1st of each month for any of the undersigned's items that sold and is actually paid for before the consignment payment is due. The undersigned understands and agrees to provide an accurate mailing address, or, the undersigned understands and agrees to have an account available with PayPal.com, in order to receive from Eastman Publishing the 50% consignment fees earned by the undersigned. The undersigned understands and agrees that a consignment payment will be sent electronically to his/her PayPal account (through the undersigned's email address) on the 1st of each month for any of the undersigned's items that sold and is actually paid for before the consignment payment is due. The undersigned understands and agrees to provide an accurate email address in order to send payments to his/her PayPal account.

The undersigned understands and agrees that shipping costs associated with sending packages containing his/her consignment items will be paid for by the undersigned. The undersigned understands and agrees that Eastman Publishing will not accept any packages sent COD. The undersigned agrees that all items sent to Eastman Publishing belongs to him/her and has all the rights to enter into this agreement.

The undersigned understands and agrees that Eastman Publishing will set the retail price for each item supplied by the undersigned. The undersigned understands that prices may change at any time in order to promote sales.

The undersigned understands and agrees that any items sent to Eastman Publishing will not be returned once they are listed within his/her Consignor's Booth. The undersigned understands and agrees that Eastman Publishing is not responsible for any monetary compensation if any of the items sent by the undersigned are lost, stolen, or any unforeseen catastrophe transpires.

The undersigned understands and agrees that his/her Consignor's Booth may be removed at any time, if the undersigned has no items available to list.

The undersigned agrees to indemnify, defend and hold harmless Eastman Publishing, its owners, heirs, officers, directors, employees, agents, licensors, suppliers and any third party information providers to Eastman Publishing from and against all claims, losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any breach or violation of this agreement (including negligent or wrongful conduct) by the undersigned.

This Consignor Agreement of Terms constitutes the entire agreement between the parties with respect to the subject matter thereof and supersedes all prior written or oral negotiations, commitments, representations, and agreements with respect thereto.
